01Agreement to these Terms

These Terms of Service (“Terms”) govern your use of the HYPURR.STKR mobile application, the website at hypurrstkr.xyz, and any related services (together, the “Service”). By creating an account, signing the NFT Holder License, or placing an order, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 19 years old, or the age of majority where you live, whichever is higher, to place an order. If you are between 14 and that age, you may only use the Service with the consent of a parent or legal guardian. We do not knowingly provide the Service to anyone under 14.

These Terms work together with our Privacy Policy and with the NFT Holder License you sign at checkout (section 5). Where the NFT Holder License and these Terms conflict, these Terms control, except on questions of copyright licensing, where the NFT Holder License controls.

02Definitions

• Hypurr NFT — an NFT from the Hyperliquid ecosystem collection we use to determine eligibility. We did not issue it and we do not control it.
• Series (or Drop) — a time-limited release of physical stickers, identified by a code such as 2026-09.
• Snapshot — a record of on-chain holdings taken at a specific block, used to decide who may order in a Series.
• Bound Wallet — a wallet you have linked to your account by signing a message, so that its holdings count toward your eligibility. We never take custody of a Bound Wallet.
• Embedded Wallet — the wallet created for your account by our login provider when you sign in, used to sign messages and pay for orders.
• Sticker — the physical product we produce and ship or hand over.
• Vault NFT — an on-chain token minted in connection with an order (section 8).
• Chip — the NFC authenticity chip embedded in certain Stickers (section 12).

03Accounts and wallets

You sign in through a third-party authentication provider using a social login. When you first sign in, an Embedded Wallet is created for your account. You are responsible for keeping access to your login method secure. Anyone who can access your login can access your account.

You may bind additional wallets you control by signing a message with them. Binding proves control of an address; it does not give us the ability to move assets from that address. One account per person. You may not sell, rent, or share your account.

Deleting your account

You may delete your account at any time from within the app, or by emailing support@hypurrstkr.xyz. Deletion removes your profile and personal data as described in our Privacy Policy, subject to records we are required by law to retain. Deletion cannot remove data already written to a public blockchain — see section 8 and the Privacy Policy.

04Eligibility and snapshots

Each Series is offered only to wallets that meet the holding requirements we publish for that Series. Eligibility is determined from a Snapshot taken at a block we select. We publish the applicable block or time for each Series before the Series opens.

We read holdings from public blockchain data through third-party RPC providers. Chain reorganisations, RPC outages, indexing delays, and provider errors can produce an incorrect reading. If you believe a Snapshot misread your holdings, contact us and we will re-check against the published block. Our determination of eligibility, made in good faith against that block, is final.

Eligibility does not guarantee availability. Series are limited (section 6) and may sell out before you order.

05NFT Holder License

Before your first purchase you must sign the NFT Holder License with your wallet. The signature is an off-chain message signature. It does not move funds and it does not approve any token transfer. We store the signature as a record that you agreed to the licence at a specific version.

The current licence text and version are shown to you in the app before you sign, and the exact wording of the version you signed is what binds you. If we publish a new version, we will ask you to sign again before your next purchase; earlier signatures remain on record for the orders they covered.

What the licence covers

By signing, you confirm you control the wallet, you authorise us to verify its holdings, and you grant us a limited, non-exclusive, royalty-free licence to reproduce the artwork associated with the NFTs you hold solely for the purpose of producing the physical Stickers you order, and to show that artwork in order previews and your order history. This licence lasts as long as needed to fulfil and record your orders. We do not acquire ownership of your NFT or of the underlying artwork, and we do not gain the right to use that artwork for general marketing without your separate permission.

06Orders and limited editions

Stickers are produced in limited quantities per Series. We publish the edition size and any per-account limit for each Series. Quantities are allocated in the order valid orders are received and confirmed.

Placing an order is an offer to buy. A contract is formed only when we confirm your order in the app or by email. We may decline or cancel an order, before or after payment, if:

• the Series has sold out or the item is no longer available;
• the price or product description was wrong because of an obvious error;
• we cannot verify your eligibility;
• we cannot ship to your address (section 9);
• we reasonably suspect fraud, abuse, or a breach of section 14 or 15.

If we cancel a paid order for any of these reasons, we will refund you as described in section 11.

07Price and payment

Prices are shown in the app before you confirm, and are quoted in USDC on the payment chain we specify at checkout. Shipping is priced separately by destination zone and shown before you confirm. Any network (gas) fee is paid by you and is not part of the price we receive.

You are responsible for any taxes arising from your purchase other than taxes on our income. Cryptocurrency values fluctuate; the amount you pay is the amount quoted at checkout in the quoted asset, regardless of what that asset is worth later.

We do not accept payment cards or in-app purchase for Stickers. Physical goods consumed outside the app are paid for outside Apple’s in-app purchase system.

08The Vault NFT

In connection with an order we may mint a Vault NFT to your wallet. The Vault NFT is a record that pairs your physical Sticker with an on-chain entry. It is a collectible and a receipt. It is not a security, not a share, not a claim on our revenue or assets, and not a promise of any future benefit, airdrop, or value.

Transferring or selling a Vault NFT does not transfer any right against us, including any warranty, replacement right, or right to future Series. Those rights stay with the original purchaser.

09Shipping worldwide

We ship worldwide, except to destinations we cannot lawfully or practically serve (section 15). Production and dispatch times are estimates published per Series, not guarantees. Carrier delays, customs holds, and force majeure are outside our control.

Address accuracy

You are responsible for the accuracy of the recipient name, address, and contact details you provide. If a shipment is returned or lost because the address was wrong or incomplete, or because the recipient did not collect it, we may charge you the cost of reshipment. Address changes are only possible before dispatch.

Customs, duties and import taxes

Risk and title

Risk of loss passes to you on delivery to you or to a person you designate. Title passes when we receive payment in full. If a shipment is lost or damaged in transit, contact us within TBD — e.g. 30 days of the estimated delivery date and we will open a claim with the carrier and, where the claim succeeds or where the loss is clearly attributable to us, replace the item or refund you.

10Pickup at events

Some Series may be offered for pickup at an announced event instead of shipping. If you select pickup:

• you must collect within the window we announce for that event;
• we may require you to prove control of the ordering wallet at pickup;
• once pickup is selected and locked for an order, switching to shipping may not be possible; the app tells you when that lock applies;
• if you do not collect within the window, we may, at our discretion, hold the item, ship it to you at your cost, or treat the order as abandoned after TBD days.

Events may be rescheduled or cancelled. If an event is cancelled and we cannot offer a reasonable alternative, we will refund the order.

11Cancellation and refunds

Statutory withdrawal

If you are a consumer, you may withdraw from your purchase within 7 days of receiving the Sticker, in line with the Korean Act on Consumer Protection in Electronic Commerce. If the goods differ from the description or are defective, the period is 3 months from receipt, or 30 days from when you knew or could have known, whichever comes first.

Withdrawal is not available where:

• the Sticker has been damaged or lost through your fault;
• its value has significantly decreased through use or partial consumption;
• its packaging or authenticity Chip has been opened, activated, or tampered with in a way that makes it unsaleable;
• a valid made-to-order exception applies, as confirmed above.

How refunds are paid

Refunds are paid in the same asset you paid with, to the wallet the payment came from, normally within TBD — e.g. 3 business days of us receiving the returned item or accepting the cancellation. We refund the amount you paid in that asset. We do not compensate for changes in the market value of that asset between payment and refund, and we do not refund blockchain network fees, which we never received.

Where you withdraw without fault on our part, you pay the return shipping. Where the item was defective, mis-described, or wrongly shipped, we pay it. Any Vault NFT minted for a refunded order may be burned, revoked, or marked void; if it cannot be, it remains on-chain but carries no rights.

12Authenticity chip

Some Stickers contain an NFC chip that generates a one-time code each time it is read, letting the app confirm the Sticker came from us. Verification tells you that a chip we programmed responded correctly. It does not certify condition, provenance after it leaves us, or market value.

Each chip is issued once, for one Sticker, as part of a limited edition. Chips are not reused across Series. Attempting to clone, extract keys from, re-program, or transplant a chip is a breach of these Terms and may be an offence.

Chips can fail. Physical damage, exposure, or ordinary wear may stop a chip responding. A non-responding chip does not by itself mean a Sticker is counterfeit, and a chip failure outside any warranty period does not entitle you to a replacement.

13Intellectual property

The Service, the HYPURR.STKR name and logo, the site and app design, and the Sticker designs we create are owned by us or our licensors. Buying a Sticker gives you ownership of that physical object. It does not give you any licence to reproduce, manufacture, or commercially exploit the designs on it.

“Hyperliquid”, “Hypurr”, and related names, logos, and NFT artwork belong to their respective owners. We are an independent project. We are not operated, endorsed, sponsored, or certified by Hyperliquid or by the issuers of any NFT collection, unless we state otherwise in writing for a specific Series.

If you believe something on the Service infringes your rights, email support@hypurrstkr.xyz with enough detail to identify the work and the material complained of, and we will investigate.

14Acceptable use

You must not:

• reproduce, counterfeit, or mass-manufacture Stickers, or use images of them to suggest a fake is genuine;
• use bots, scripts, or multiple accounts to obtain more than your allocation in a Series;
• scrape, probe, overload, or attempt to gain unauthorised access to the Service or its infrastructure;
• provide false identity, address, or wallet-control information, or bind a wallet you do not control;
• use the Service to launder money, evade sanctions, or fund unlawful activity;
• interfere with the Chip verification system or forge verification results.

We may cancel orders, withhold shipments, and suspend or close accounts that breach this section.

15Sanctions and restricted regions

You represent that you are not located in, ordinarily resident in, or ordering on behalf of anyone in a country or region subject to comprehensive trade sanctions, and that you are not listed on any applicable sanctions or restricted-party list, and that no wallet you use is.

We may screen wallet addresses and shipping destinations against sanctions and export-control lists and may refuse or cancel any order on that basis. We may also refuse destinations where we cannot ship lawfully or reliably.

16No investment advice

Nothing on the Service is financial, investment, tax, or legal advice. Stickers are collectibles and Vault NFTs are records — neither is offered as an investment, and we make no representation that either will hold or increase in value. We do not operate a marketplace, exchange, or secondary market, and we are not a party to any resale.

Balances shown in the app are read from public blockchain data for your convenience. They may be delayed or wrong, and they are not a statement of account from us.

17Third-party services

The Service depends on third parties, including our authentication and wallet provider, our hosting and database provider, blockchain RPC providers, block explorers, name-resolution services, and shipping carriers. Their outages, errors, policy changes, or termination can degrade or interrupt the Service. We choose these providers with reasonable care but we do not control them and are not responsible for their acts or omissions, except where the law does not allow us to exclude that responsibility. Which providers we use and what data they receive is set out in our Privacy Policy.

18Changes, suspension, termination

We may change, suspend, or discontinue any part of the Service, including any Series, at any time. We will give reasonable notice where a change materially affects orders you have already placed. If we cancel a Series you have paid for, we refund you under section 11.

You may stop using the Service and delete your account at any time. We may suspend or close your account for breach of these Terms, for suspected fraud, or where required by law. Sections 8, 11, 13, 16, 19, 20, and 21 survive termination.

19Disclaimers

Except for warranties that cannot be excluded under applicable consumer law — and in Korea, the statutory rights of consumers are not excluded — the Service is provided “as is” and “as available”, without warranties of any kind. We do not warrant that the Service will be uninterrupted, that eligibility readings or Chip verifications will be error-free, or that blockchain networks we rely on will operate correctly, remain available, or preserve your assets.

We are not responsible for blockchain risk — including network failure, congestion, forks, reorganisations, protocol changes, smart contract vulnerabilities, or loss of keys — except where it results from our own failure to take reasonable care.

20Limitation of liability

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited under applicable law, including a consumer’s statutory rights under Korean law.

Subject to that, we are not liable for indirect, incidental, special, or consequential loss, or for loss of profit, revenue, data, or the market value of any digital asset. Our total liability arising from or relating to an order is limited to TBD — e.g. the amount you paid for that order.

21Governing law and disputes

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules.

If you are a consumer, this choice of law does not deprive you of the protection of mandatory consumer-protection rules of the country where you habitually reside, and you may bring proceedings in the courts of your place of residence. Korean consumers may also use the Korea Consumer Agency’s dispute resolution procedures or the Korea Fair Trade Commission’s e-commerce dispute mediation, without giving up any right to go to court.

Otherwise, the courts of TBD — e.g. Seoul Central District Court have jurisdiction. Please contact us first at support@hypurrstkr.xyz; most issues are resolved without formal proceedings.

22Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and, for changes that disadvantage you or materially change your rights, give at least 30 days’ notice in the app or by email before they take effect. If you do not accept a change, stop using the Service and delete your account before the effective date. Orders already confirmed stay under the version in force when you placed them.
